Terms of Service

1. Acceptance of Terms

By creating an account or using the WholesaleIQ platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding legal agreement between you and WholesaleIQ ("we," "us," or "the Company").

2. Description of the Service

WholesaleIQ is a business intelligence platform for wholesalers, Amazon FBA sellers, and small businesses. It provides demand forecasting, inventory optimization, pricing analysis, financial planning tools, and AI-assisted business insights. The Service may connect to third-party financial data providers (including Plaid) and productivity tools at your direction.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent that you meet these requirements.

4. Your Account

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You may not share your account with others or create accounts on behalf of third parties without their consent.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Billing and Subscriptions

  • Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. Your subscription automatically renews each month unless you cancel before the next billing date.
  • You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then. We do not provide refunds or credits for partial billing periods or unused time, except where required by law or at our discretion.
  • If a payment fails, we may retry the charge and will notify you. If payment is not resolved within a reasonable period, we may downgrade or suspend access to paid features until the balance is settled.
  • We may change our prices from time to time. If a price change affects your plan, we will provide notice before it takes effect; continuing to use the Service after the new price applies constitutes acceptance of it.
  • Listed prices do not include applicable sales, use, or value-added taxes, which may be added to your invoice where required.
  • Payment card details are entered directly with Stripe and are never stored on our servers. See our Privacy Policy for how payment data is handled.

6. Your Data

You retain ownership of all business data, documents, and records you upload or connect to the Service. By using the Service, you grant us a limited license to store and process your data for the purposes of providing, improving, and expanding the Service, including the aggregated and benchmarking uses described below.

Aggregated and anonymized data. We may derive anonymized, aggregated insights from usage data across our user base — such as pricing ranges, demand patterns, cost benchmarks, and market trends — to power platform-wide features including price comparison tools, industry benchmarks, and market intelligence reports. These aggregated insights contain no individually identifiable information and cannot be traced back to any specific user or business. Your individual data is never shared with or sold to third parties for their independent use.

Our full data handling practices, including your rights to access and delete your data, are described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Third-Party Integrations

The Service integrates with third-party providers including Plaid (financial data), Google (authentication and productivity), QuickBooks, Square, and Clover. Your use of those integrations is also subject to the respective providers' terms of service and privacy policies.

When you connect a financial institution through Plaid, you authorize us to access the account data you select, as described during the connection flow. You may disconnect any integration at any time from your account settings.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Introduce malicious code, conduct denial-of-service attacks, or interfere with other users' access.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell or sublicense the Service without our express written permission.

9. AI-Generated Content

The Service uses AI to generate forecasts, recommendations, and business insights. These outputs are provided for informational purposes only and do not constitute financial, legal, or professional advice. You are solely responsible for decisions made based on AI-generated content. We do not guarantee the accuracy, completeness, or fitness for a particular purpose of any AI-generated output.

10. Intellectual Property

All software, design, algorithms, and content comprising the Service (excluding your data) are the intellectual property of WholesaleIQ and are protected by applicable copyright, trademark, and other laws. Nothing in these Terms grants you a right to use our trademarks or brand identifiers.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHOLESALEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Termination

You may close your account at any time. We may suspend or terminate your access to the Service at our discretion if you violate these Terms, with or without notice. Terminating your account also cancels any active subscription; see Section 5 for how billing periods and refunds are handled. Upon termination, your data will be handled in accordance with our Privacy Policy and Data Retention and Disposal Policy.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation before initiating formal legal proceedings.
